Terms of Use

1. Acceptance of Terms
By accessing or using mccodewadsworth.com and its Application Suite (the "Platform"), operated by McCode-Wadsworth ("we," "us," or "our"), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Platform.
2. Eligibility
You must be at least 18 years old to create an account. By creating an account you represent that you meet this requirement and that the information you provide is accurate.
3. Your Account
You are responsible for safeguarding your credentials and for all activity under your account. Creating an account also creates an organization workspace for which you act as administrator; you are responsible for the members you add and the access you grant them. Notify us promptly of any unauthorized use of your account.
4. Subscriptions, Billing & Cancellation
- Recurring billing. Paid plans are billed as automatically renewing monthly subscriptions at the price shown at checkout, processed by Stripe. Your subscription renews each billing period until you cancel.
- Cancel anytime, yourself. You can cancel from your account page in a few clicks — no phone call, no email required. Cancellation takes effect at the end of the current billing period, and you retain access until then.
- Plan changes. You may upgrade or downgrade between plans from your account page; price changes to your plan will be communicated in advance of taking effect.
- Refunds. Except where required by law, payments already made are non-refundable; canceling stops future charges.
- Pass-through costs. Where a plan describes infrastructure costs (such as AWS usage) as separate, those are billed at cost as described on the plan's pricing page.
- One-time purchases. Items bought from the store are one-time charges at the price shown at checkout, confirmed by email. They do not create a subscription.
5. Acceptable Use
You agree to use the Platform only for lawful purposes. You will not:
- Violate any applicable law or regulation, or infringe anyone's rights.
- Harass, threaten, or defraud other users, or send spam through Platform features.
- Impersonate any person or entity, or misrepresent your affiliation.
- Upload malicious code, probe or disrupt the Platform's security or rate limits, or access data belonging to another user or organization.
- Scrape, harvest, or bulk-collect other users' information.
We may suspend or terminate access for violations of these rules.
6. Your Content
You retain all rights to the content you submit — photos, messages, profile text, and records your organization creates ("User Content"). You grant us a non-exclusive, royalty-free license to host, store, display, and transmit your User Content solely as needed to operate and provide the Platform's features. This license ends when the content is deleted from the Platform. You represent that you have the rights to the content you submit.
7. Our Intellectual Property
The Platform — its code, design, features, and branding — is and remains the exclusive property of McCode-Wadsworth and its licensors. Except for code expressly delivered to you under a service plan, these Terms grant you no rights to use our trademarks, code, or trade dress. Where a plan includes code ownership or handoff, the scope of that delivery is defined by the plan's description.
8. Termination
You may delete your account at any time from your account page, which permanently removes your personal data as described in the Privacy Policy. We may suspend or terminate your access without prior notice if you breach these Terms. Sections that by their nature should survive termination (including Sections 6–12) survive it.
9. Disclaimer of Warranties
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the fullest extent permitted by law, McCode-Wadsworth and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Platform. Our total liability for any claim arising out of these Terms or the Platform is limited to the amount you paid us in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless McCode-Wadsworth from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Platform, or your breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction.
13. General
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any plan description you purchase under, are the entire agreement between us regarding the Platform.
14. Changes to These Terms
We may modify these Terms from time to time. For material changes we will provide reasonable advance notice (at least 30 days where practicable) by posting on this page and updating the "Last updated" date. Continued use after changes take effect constitutes acceptance.
